The lifeblood of every good franchise system relates, in large measure, to consistency and uniformity. To achieve this, a properly prepared franchise agreement and FDD will contain restrictive covenants respecting the franchisees operations. To ensure that franchisees are adequately informed about the restrictive covenants imposed on them,
New York State Franchise Regulation require franchisors to disclose restrictions and conditions imposed by the franchisor on the goods or services that the franchisee may sell, including restrictions that limit the customers to whom the franchise may sell goods or services . Many of these restrictions are disclosed in FDD Item 16.
