What Terms Must I Include in the Uniform Franchise Offering Circular (UFOC)?

When selling franchises in New York, you will be required to provide potential franchisees with a Franchise Disclosure Document (FDD), which is also commonly known by its former name, the Uniform Franchise Offering Circular (UFOC). This document will establish the terms of your relationship with the business franchisee. Some of the terms that you will need to provide in the FDD/UFOC include: 

  • Any required fees (such as the initial franchise fees, any ongoing royalty fees, and any required advertising fees);
  • An estimate of the franchisees initial investment. According to the Federal Trade Commission (FTC), this must be provided in chart form;
  • The franchisee's obligations (such as the maintenance of their franchise location, and the use of your trademarks, patents, and federally registered intellectual property);
  • The franchisor's obligations (such as the assistance you will provide in selecting a site, the hiring and training of employees, and any company-wide advertising activities);
  • Restrictions on what product and/or services a franchisee may or may not sell; and
  • The rules on the renewal, termination, or transfer of a franchise.
