California Franchise Registration: FDD Registration

As a "franchise registration state" California requires franchisors offering and/or selling a franchise from or within the state of California to file and register their FDD with the California Department of Corporations. Failure to register a franchise in California may result in significant liability. The California Department of Corporations requires the following documents to be filed with an FDD registration:
  • Uniform Franchise Registration Application Page;
  • Supplemental Information page(s);
  • Certification page;
  • Uniform Consent to Service of Process;
  • Sales Agent Disclosure Form;
  • If the applicant is a corporation or partnership or limited liability company, an authorizing resolution if the application is verified by a person other than applicant's officer or general partner;
  • Uniform Franchise Offering Circular or Uniform Franchise Disclosure Document;
  • Application fee
  • Auditor's consent (or a photocopy of the consent) to the use of the latest audited financial statements in the offering circular; and
  • Advertising or promotional materials, if required.
