The Franchise Disclosure Process (Part B)

Managing the FDD Delivery Process

When delivering your FDD to prospective franchisees, you should receive a signed receipt. Furthermore, if the franchisor should make any disclosure changes after delivering the FDD, then they will need to provide a new disclosure with the changes that were made. A receipt should also be obtained for the delivery of the amended document.

These receipts may be helpful in the event of any disputes about disclosures. To ensure that the FDD is delivered appropriately, and to obtain the necessary receipts, you can get the expert help of a New York franchise attorney.

It is also important for you as the franchisor to confirm the disclosure schedule. Again, a New York franchise attorney can help you with this process. While some companies choose to videotape their interviews with franchisees, others rely on written certificates.

However you choose to document this process, you should make sure that you document the following:

  • The date of the receipt of the FDD;
  • The date any addendum to the FDD was received;
  • The date that completed copies of all agreements to be executed were received by the prospect;
  • The date that the first agreement was received by the prospect and
  • The earliest date a check, cash, or other consideration was delivered by the prospect to a representative of the franchisor, and the name of that individual.
