Washington Franchise Registration Requirements: The Basics

Washington is a franchise registration state and, as such, requires franchisors to file an FDD registration (and renewal) application with the Washington State Department of Financial Institutions.

Pursuant to the Washington Franchise Investment Protection Act, Washington State franchise registration requires:

  • The application for registration, signed by the franchisor, subfranchisor or by any person on whose behalf the offering is to be made;
  • A copy of the franchisor’s or subfranchisor’s offering circular which shall be prepared in compliance with Washington State;
  • A copy of all agreements to be proposed to franchisees;
  • A consent to service of process as required by Washington State franchise law;
  • The application for registration for any franchise broker, if any;
  • The applicable filing fee; and
