Minnesota State Franchise Disclosure Document (FDD) Registration

Minnesota Franchise Registration Status: Registration State
State Registration Fee: $400.00

Minnesota is a franchise registration state. Prior to offering, selling or advertising the sale of a franchise in the State of Minnesota, franchisors must file and register their current Franchise Disclosure Document (FDD) with the Securities Division of the Minnesota Department of Commerce. The Securities Division oversees registration and renewals of the franchisor FDD's and enforcement of the Minnesota's franchise statute which broadly defines a franchise as including:

  • any relationship, whether by written or oral agreement where;
  • franchisee is granted the right to engage in the business of offering or distributing goods or services using the franchisor's trade name, trademark, service mark, logotype, advertising, or other commercial symbol or related characteristics;
  • in which the franchisor and franchisee have a community of interest in the marketing of goods or services at wholesale, retail, by lease, agreement, or otherwise; and
  • for which the franchisee pays, directly or indirectly, a franchise fee.

The Minnesota statute also defines other relationships that may qualify as a franchise.
