For calendar-year franchisors, these are the key dates to have on your radar:
- February 1, 2027. Initial Maryland Fast-Track filing deadline for eligible franchisors.
- March 16, 2027. New York Early Review filing deadline for franchisors with a December 31 fiscal year end.
- April 20, 2027. California renewal deadline for calendar-year franchisors.

October 2026: Start the Renewal Process
Do not wait until January to begin your 2027 renewal.
October is the time to bring together your legal, accounting and audit teams and identify anything that could slow down the renewal process once the fiscal year closes.
October To-Do List
- Start pre-audit work. Engage your accountant or auditor and begin working through available pre-audit items.
- Review your renewal agenda. ILF clients should review their renewal agenda in FranIQ and begin identifying changes that may need to be reflected in the 2027 FDD.
- Review your current FDD. Identify changes involving fees, training, support, technology, marketing, territories, suppliers, franchisee obligations and other areas of the franchise system.
- Start planning Item 19. Begin reviewing the data and methodology that may be used for your 2027 Financial Performance Representation.
- Plan for financial assurance. Consider whether your financial condition could result in fee deferral, escrow or bonding requirements in registration states.
November 2026: Decide What Needs to Change
By November, your team should identify the business, operational and legal changes you want evaluated for the 2027 FDD.
Provide those changes to franchise counsel so there is time to determine what needs to be updated in the FDD, franchise agreement and state addenda.

- Identify proposed 2027 changes. Review fees, technology, marketing, training, support, territories and other system changes.
- Send proposed changes to franchise counsel. Your legal team should evaluate how those changes affect the FDD and franchise agreements.
- Review Item 19 methodology. Confirm that the definitions and calculations used in your Financial Performance Representation align with how your accounting team actually tracks the underlying data.
- Review state law changes. Determine whether state-specific developments require updates to your FDD or franchise agreements.
December 2026: Finish the Substantive FDD Updates
By December, most substantive changes to the 2027 FDD should be identified and moving toward completion.
The goal is to finish as much of the document as possible before December 31, leaving primarily year-end financial information and final system data to be added after the fiscal year closes.
Target: December 20
By this point, the appropriate members of your leadership team should have reviewed the proposed FDD and franchise agreement changes.
Major business changes should not be held until March or April if they can be addressed before year end. Late changes can delay document finalization and state renewal filings.
January 2027: Finalize the Numbers
After the 2026 fiscal year closes, your accounting, legal and franchise teams should begin finalizing the annual data needed for the FDD.
January 15–30
Provide the information needed to update disclosures including:
- Item 8. Supplier revenue, rebates or other required disclosures.
- Item 11. Brand Development Fund or advertising fund information.
- Item 19. Financial Performance Representation data.
- Item 20. Updated franchise outlet information.
Item 19 should be reviewed with both your internal and external accounting professionals. Confirm that the definitions, methodology and underlying data remain accurate and representative of the disclosure being made.
Your legal team, sales team and auditor should also begin coordinating the expected timing of the audit and issuance of the new FDD.
February 1, 2027: Maryland Fast-Track Deadline
Eligible franchisors participating in Maryland's Fast-Track Program must make their initial renewal filing by February 1, 2027.
The program allows qualifying franchisors to begin Maryland's renewal review before audited financial statements are complete.
By this point, the substantive FDD should be substantially complete, including Item 19.
The filing may omit certain audit-related components that are permitted to be submitted later under the Fast-Track process.
Not every franchisor qualifies for the program.
February 2027: Finalize the FDD
Even if you are not participating in Maryland Fast-Track, February should be an important completion month.
By the end of February, the substantive FDD should generally be complete, including annual updates to Items 8, 11, 19 and 20.
Ideally, the audit should now be one of the primary remaining items.
March 16, 2027: New York Early Review Deadline
New York's Early Review procedure allows qualifying franchisors to begin renewal review before audited financial statements are available.
For a franchisor with a December 31, 2026 fiscal year end, the Early Review filing deadline is March 16, 2027.
The FDD must otherwise be substantially complete. Certain audit-related components may be submitted later when the renewal filing is completed.
March 2027: Lock the FDD and Audit Timeline
By March, substantive drafting should be coming to an end.
If audited financial statements have not yet been issued, confirm the expected delivery date with your auditor and coordinate timing with your legal and franchise development teams.
At this point:
- The substantive FDD should be approved.
- Item 19 should be finalized.
- Major business and agreement changes should be complete.
- State renewal application preparation should be underway.
- Your team should understand when the new FDD is expected to be issued.
The objective is to avoid making preventable changes while renewal applications are being prepared.
April 1, 2027: ILF Client Renewal Target
For Internicola Law Firm clients, April 1 is an important internal target date.
By April 1, we ask that the substantive FDD be completed and approved so our team can prepare state renewal applications, supplemental forms and state-specific materials.
Audited financial statements may still be outstanding if they have not yet been completed.
The April 1 target gives our team time to prepare state filings before the major April renewal deadlines.
April 10, 2027: Maryland Fast-Track Completion
Franchisors participating in Maryland's Fast-Track Program must complete the filing process in April by submitting the remaining required materials, including final audited financial statements and other audit-related components.
Because filing requirements and timing matter, participating franchisors should coordinate completion with franchise counsel in advance.
April 20, 2027: California Renewal Deadline
For franchisors with a December 31 fiscal year end, the California renewal deadline is generally April 20, 2027.
A complete renewal application should be filed before the existing registration expires.
Do not treat April 20 as the date to begin preparing the California renewal. Your FDD, audited financial statements and state filing materials should be coordinated well before this deadline.
April 30, 2027: Federal FDD Annual Update Deadline
Under the FTC Franchise Rule, a franchisor must update its FDD within 120 days after the end of its fiscal year.
For a franchisor with a December 31, 2026 fiscal year end, the federal annual update deadline is April 30, 2027.
State registration requirements are separate. A franchisor's ability to offer or sell franchises in a particular registration state will also depend on that state's registration status, expiration date and renewal requirements.
This is why FDD issuance and state renewal timing should be coordinated as part of one renewal strategy.
What Should Be Completed Before the Audit Is Ready?
The audit should not be the starting point for FDD renewal work.
Before audited financial statements are delivered, franchisors should aim to have the following substantially complete:
- FDD business updates. Fees, training, support, technology, territories and system changes.
- Item 19. Data, methodology, definitions and related disclosures.
- Item 20. Outlet counts, transfers, terminations and closures.
- Franchise agreements. Approved legal and business changes.
- State addenda. Updates required by state law changes.
- Financial assurance planning. Fee deferral, escrow or bonding issues that may affect registration.
- State renewal preparation. Applications and supplemental filing materials.
The objective is simple: once the audit is ready, the rest of the FDD should be ready too.
